By accessing or using the website, services, or products of RunProf ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not use our website or services.

RunProf provides software development, product engineering, design, quality assurance, project management, outsourcing, and related consulting services ("Services"). Specific scope, deliverables, timelines, and fees for any engagement are set out in separate statements of work, proposals, or master service agreements agreed in writing between you and RunProf.

You agree to use our website and Services only for lawful purposes and in accordance with these Terms and applicable laws. You must not use our website or Services to transmit any harmful, offensive, or illegal content, or to attempt to gain unauthorized access to our systems or third-party systems. You are responsible for maintaining the confidentiality of any account credentials and for all activity under your account.

All content on this website (including text, graphics, logos, and design) is the property of RunProf or its licensors and is protected by copyright and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent. Ownership of deliverables created under a specific project will be as agreed in the applicable statement of work or contract.

Each party may receive confidential information from the other in connection with the Services. Each party agrees to hold such information in confidence and not to disclose it to third parties or use it except as necessary to perform under the agreement. These obligations survive termination. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction.

Fees for Services are as set out in the relevant quote, proposal, or contract. Unless otherwise agreed, payment terms are net 30 days from invoice date. We may suspend Services in the event of late or non-payment. Prices are exclusive of applicable taxes unless stated otherwise; you are responsible for any sales, VAT, or similar taxes where required by law.

To the maximum extent permitted by law, RunProf shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to these Terms or the Services. Our total aggregate liability shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless RunProf and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the website or Services, your breach of these Terms, or your violation of any law or third-party rights.

We may suspend or terminate your access to our website or Services at any time for convenience or for breach of these Terms. You may stop using our Services at any time. Provisions that by their nature should survive (including intellectual property, confidentiality, limitation of liability, and indemnification) will survive termination.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which RunProf is registered (e.g., the Arab Republic of Egypt or the Kingdom of Saudi Arabia, as applicable), without regard to conflict of law principles. Any dispute shall be resolved exclusively in the courts of that jurisdiction, unless otherwise agreed in writing.

We reserve the right to modify these Terms at any time. We will indicate the date of the last update at the top of this page. Your continued use of our website or Services after any changes constitutes your acceptance of the revised Terms. If you do not agree, you must stop using our website and Services.

These Terms constitute the entire agreement between you and RunProf regarding the website and general use of our Services, and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right does not waive that right. You may not assign these Terms without our written consent; we may assign our rights and obligations without restriction.
